ZOPA is the quantified overlap between each party’s minimum acceptable terms across key deal variables such as scope, deliverables, IP rights, publication review, confidentiality, liability, price and indirects, and timelines. ZOPA is used to structure negotiations, prioritize tradeoffs, and identify when sponsor terms conflict with institutional requirements.
